Terms of Service
The terms that govern the use of Overmap.
1. About Overmap
Overmap is a platform designed to help event organizers manage events, locations, zones, participants, communications and related services.
These Terms of Service ("Terms") govern access to and use of the Overmap administration platform, websites and associated services (collectively, the "Service").

2. Acceptance of these Terms
By creating an account, joining an organization or otherwise using the Service, you agree to these Terms.
If you use Overmap on behalf of a company, association or other organization, you confirm that you are authorized to accept these Terms on its behalf.
If you do not agree to these Terms, you must not use the Service.
3. Accounts
Certain features of Overmap require an account. You are responsible for providing accurate information and keeping your account credentials secure.
You must not share access credentials with unauthorized persons or attempt to access another user's account.
You are responsible for activities performed through your account, except where such activity results from a security incident attributable to Overmap.
You must notify us promptly if you believe your account has been compromised.
4. Organizations and roles
Overmap allows users to create or join organizations and to assign roles and permissions to their members.
Organization owners and administrators are responsible for managing access granted to their members and ensuring that permissions remain appropriate.
Actions performed by authorized members of an organization may be considered actions of that organization.
5. Events
Organizations may use Overmap to create and manage events and related information, including maps, zones, exhibitors, participants, communications and other event data.
The organization remains responsible for the accuracy and legality of the information it uploads, publishes or otherwise processes through Overmap.
6. Location and participant data
Certain Overmap features may allow organizations to process the location of participants or devices during an event.
Organizations using these features are responsible for ensuring that their use of location data complies with applicable law, including providing participants with appropriate information and, where required, obtaining valid consent or relying on another appropriate legal basis.
Location data must not be collected or used for purposes that are unlawful, unrelated to the relevant event or incompatible with the information provided to participants.
7. Communications
Overmap may provide tools enabling organizations to communicate with participants or other contacts, including by email.
Organizations are responsible for ensuring that their communications comply with applicable privacy, electronic communications and marketing laws.
This includes, where applicable, ensuring that recipients have consented to receive communications and that appropriate unsubscribe mechanisms are available.
The Service must not be used to send spam, deceptive messages, malicious content or unlawful communications.
8. Content uploaded to Overmap
You retain ownership of content and data that you upload to Overmap.
You grant Overmap a limited right to host, store, process, reproduce and transmit that content only as necessary to provide, secure and operate the Service.
You confirm that you have the rights and authorizations necessary to upload and process such content.
9. Acceptable use
You must not use Overmap to:
- violate applicable laws or regulations;
- infringe the rights, intellectual property or privacy of another person;
- collect or monitor individuals unlawfully or without an appropriate legal basis;
- access accounts, organizations, systems or data without authorization;
- interfere with, disrupt or degrade the operation or security of the Service;
- distribute malware, malicious code or harmful content;
- bypass technical limitations, access controls or security measures;
- use automated methods in a manner that places unreasonable load on the Service;
- resell or provide access to the Service unless expressly permitted by your agreement with Overmap.
10. Subscription plans and billing
Some Overmap features may require a paid subscription.
The features, usage limits, storage limits, retention periods and prices associated with each plan are those displayed at the time the subscription is purchased or specified in a separate agreement.
Overmap may introduce new plans or modify the characteristics of existing plans. Changes affecting an active paid subscription will be communicated where required.
Unless otherwise stated, prices exclude applicable taxes.
11. Service availability
We aim to provide a reliable and continuously available service, but we do not guarantee uninterrupted availability.
Access may occasionally be interrupted due to maintenance, updates, security measures, infrastructure failures or circumstances beyond our reasonable control.
We may make changes to the Service to improve functionality, performance, security or compliance.
12. Data backups
Overmap implements reasonable technical measures intended to protect and preserve data stored by the Service.
Unless a specific backup or retention commitment forms part of your subscription or contract, the Service should not be considered the sole archival copy of data that is critical to your organization.
13. Intellectual property
The Overmap platform, including its software, design, trademarks, logos, interfaces and documentation, is protected by applicable intellectual property laws.
Except for the limited right to use the Service under these Terms, no intellectual property rights relating to Overmap are transferred to users.
Third-party software and open-source components remain subject to their respective licenses.
14. Suspension and termination
You may stop using Overmap at any time.
We may suspend or restrict access to the Service where reasonably necessary to:
- protect the security or integrity of the Service;
- prevent unlawful or abusive use;
- respond to a legal obligation;
- address a serious or repeated breach of these Terms;
- address unpaid amounts relating to a paid subscription.
Where appropriate and reasonably possible, we will provide notice before suspending or terminating an account.
15. Deletion and export of data
Depending on the applicable subscription and features, users may be able to export or delete certain data through Overmap.
Following termination of an account or subscription, data may be deleted after the applicable retention period, except where retention is required by law or necessary for the establishment, exercise or defense of legal claims.
16. Liability
Overmap is responsible for providing the Service with reasonable care and skill and in accordance with applicable law.
Organizations remain responsible for how they configure and use the Service, the data they process, the persons to whom they grant access, and the communications they send.
To the extent permitted by applicable law, Overmap will not be liable for indirect losses or damages resulting from misuse of the Service, unauthorized actions by an organization's users, or third-party services outside Overmap's reasonable control.
Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by law.
17. Third-party services
Some Overmap functionality may depend on third-party services, including hosting, storage, mapping, authentication, email delivery or payment providers.
Those services may be governed by their own terms and privacy policies.
18. Changes to these Terms
We may update these Terms where necessary to reflect changes to the Service, applicable law, security requirements or our business.
Material changes will be communicated through the Service or by another appropriate means before they take effect where required by law.
19. Governing law
These Terms are governed by French law, without prejudice to any mandatory legal protections that may apply.
Any dispute will be submitted to the competent courts in accordance with applicable law.
